This Terms of Use Agreement (“Agreement”) sets forth the agreement between WM Group Development Limited (“WM Group”), WM Group’s affiliated and subsidiary companies (together “We”, “Us”, or “Our”) and each user (“User”, “Your” or “You”) governing the use by you of the Site and the Site’s Privacy Policy (“Privacy Policy”). USE OF THE SITE

By using our Site, you represent and agree that you are at least 18 years of age or older and are fully able and competent to enter into the terms, conditions, representations and warranties set forth in this Agreement; otherwise, please exit the Site. You may view and print a copy of the Contents displayed on the Site, and download a copy of any Contents that is designated for downloading, for your personal use only but you may not alter the Contents in any way, including, without limitation, removing or modifying any copyright or other ownership notices. The rights, title and interest in the Contents are not transferred to you by copying or downloading the material. You agree not to access the Site by any means other than the interface we provide. Displaying or running the Site or any information or material displayed on the Site in frames or through similar means on another website without our prior authorization is prohibited. Any permitted links to the Site must comply with all applicable laws, rules and regulations. This Agreement is effective until terminated by either us or you. We, in our sole discretion, may suspend or terminate this Agreement at any time without notice and deny you access to the Site or any portion of it. Upon termination by us or you, you must destroy all materials obtained from the Site including all copies of such materials whether made under the terms of use contained in this Agreement or otherwise. We reserve the right to modify or discontinue, temporarily or permanently, the Site or any portion of it with or without notice. We are not liable to you or to any third party for any modification, suspension or discontinuation of the Site. You agree that we may terminate or suspend your access to all or part of the Site, with or without notice, for any conduct that we, in our sole discretion, believes is in violation of any part of this Agreement, laws or regulations or is harmful to another user or us or our affiliates and subsidiaries. The following shall survive any termination of the Agreement either by us or you; Privacy, Liability Disclaimer, Severability; Interpretation, and Miscellaneous.

This Site may contain hyperlinks to websites, products or services not controlled or operated by WM Group. Such hyperlinks or links are provided for your reference only. Any use you make of any site or service linked to by this Site is entirely at your own risk. WM Group will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of any third-party vendors or for any personal injuries, death, property damage, or other damages or expenses resulting from your interactions with third-party vendors.

 

LIABILITY DISCLAIMER

WM Group will use reasonable effort to keep the Site’s information up to date but we make no warranty that the Site will meet your requirements, be timely, secure, error free or uninterrupted, information or other material obtained by you through the Site will be accurate or reliable. We also are not responsible for any errors or omissions in this Site. Any material downloaded or otherwise obtained through the Site is done at your own risk and you are solely responsible for any damage to your computer system, loss of data, lost profits or any other damages that results from the download of any material, or resulting from your use of this Site.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless WM Group from and against all losses, expenses, costs and damages including attorney’s fees resulting from your use of or contact on the Site, your use or your inability to use the Site or services, any products or services purchased or obtained by you in connection with the Site, any Site postings or activity related to your account made by you or another person, your violation of any terms of this Agreement, your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. You agree to cooperate as fully as reasonably required in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will still be required to indemnify us for the attorney fees and expenses in addition to any losses, claims, damages and liabilities incurred by us. You shall not in any event settle any matter without prior written consent of WM Group.

JURISDICTION & APPLICABLE LAW

This Site and the Contents are displayed solely for the purpose of promoting WM Group’s services. This Site is controlled and operated by WM Group’s head office in Hong Kong. You are responsible for complying with the laws of the jurisdiction from which you are accessing this Site, and you agree that you will not access or use the information on this Site in violation of such laws. This Agreement and your use of this Site will be governed by the laws of Hong Kong, without regard to any conflict of law provision. Our failure to enforce any rights under this Agreement will not constitute a waiver of any terms or conditions of these Terms of Use.

The Site has been translated into Chinese. If there is any inconsistency or ambiguity between the English version and the Chinese version, the English version shall prevail.
